HARLEY L. WINGER

Mr. Winger graduated from the University of Saskatchewan in 1974 with a Bachelor of Arts degree and in 1978 with his law degree. He has practised law in Calgary since 1978 has been a partner of Burstall Winger LLP since 1990. He was also a co-founder of Tier One Energy Corp. in October 1996.

Mr. Winger's preferred area of practice is securities law. He advises both underwriters and issuers in respect of national and international public and private securities financings, as well as mergers and corporate reorganizations. In addition, his practice involves asset acquisitions, dispositions and general commercial law.

Mr. Winger served as the Chairman of the Securities Subsection of the Canadian Bar Association for several years. Mr. Winger has participated in numerous seminar panels discussing corporate and securities law issues.
